The two of them use Loki’s scepter and the Mind Stone and thus create Ultron.

The Civil War event is one of the huge events in the comic book history. The Superhuman Registration act built a wall between Iron Man and Captain America. The act required humans with superpowers to register themselves with their identities. Captain America stood rigidly against the act while Iron Man supporting the bill. Well, everybody knows about the superheroes and the powers. Wit that, changes were made in the SRA according to MCU. On the other side, under Sokovia Accords, The Avengers were demanded to report to UN council. After the mistake of creating Ultron, Stark beloved that The Avenger needed an effective supervision.
